SaaS for SEBI-registered Research Analysts

SaaS for SEBI Research Analysts, with the answers your SaaS report asks for

OptumFlex is a white-label SaaS platform for SEBI-registered Research Analysts: onboarding, research delivery, model portfolios, reports, courses, webinars and a CRM, run under your own brand, with nothing to install and nothing to host. Twice a year BSE asks every RA which SaaS services it uses, what data each one receives and where it is hosted. Here the answers are written down before you are asked.

Hosted in Mumbaiservers, database, your files and backups; every service outside India named beside it
A numbered undertakingissued to you when your agreement is signed, with a public check link

From Annexure E of the agreement. Your own undertaking lists the services your account uses, and nothing else of your account leaves India without your written consent.

Step by step

How it actually works

No step here is a diagram. Each one is a screen, and each one leaves a record.

  1. You sign the agreement, and the hosting is written into it

Clause 11.4 and Annexure E of the Platform Services Agreement say where the platform is hosted and list every service that processes specific data outside India, with the data each one receives. You know the answer before your first client signs.

    • Clause 11.4
    • Annexure E
    • Before go-live
  2. The undertaking is issued to you, numbered

When the agreement is signed by both sides, the platform issues OptumFlex's undertaking for your SaaS report, numbered and dated on the letterhead, and emails it to you. It cites your agreement, lists the services your own account uses and supersedes any earlier letter.

    • Numbered and dated
    • Your account's services
    • Emailed to you
  3. Anyone can check that it is genuine

Every letter carries a link to a public check page that says whether it is genuine and current, superseded or withdrawn, with the SHA-256 fingerprint of the PDF. Your auditor does not have to take a scanned page on trust.

    • Public check link
    • Current or superseded
    • SHA-256 fingerprint
  4. You file your report with BSE

The half-yearly SaaS report asks, for each provider, the service used, the data exchanged and where it is hosted. The undertaking gives you each of those, in that shape. Filing it stays with you, as the registered analyst.

    • Provider
    • Data exchanged
    • Hosting location
  5. When something changes, you are told in writing

A new sub-processor comes with 15 days' notice by email or in the console (clause 11.5), and you may object. The undertaking itself commits OptumFlex to tell you in writing if what it says about hosting or the services outside India ever changes.

    • 15 days' notice
    • Your right to object
    • In writing

What comes with it

What the SaaS report asks, and where the answer is

Each question on the form, answered from a document you already hold.

Where the platform is hosted

Application server, database server, your files including clients' KYC records, and the backups of each: India, Mumbai region. The services outside India are in the table at the top of this page, each with the data it receives.

Every provider, by name

Each service that processes specific data outside India is named with what it receives, including the one that invites a second question: the AI assistance in our own support work.

Who the data belongs to

You. You are the data fiduciary under the Digital Personal Data Protection Act, 2023; OptumFlex processes your clients' data only on your behalf, never for its own use, profiling or sale.

How it is protected

Reasonable security practices under section 43A of the IT Act: encryption in transit, encrypted storage of gateway, KRA and mail credentials, role-based access, and a log of sign-ins and administrative events.

What happens when you leave

Read-only access for 30 days to export your clients, agreements, KYC records, payments, communications and audit logs in PDF, CSV or JSON (clause 17.4).

When the system changes

Nothing changes on the live system between 9:00 and 15:40 on market days; maintenance is scheduled outside market hours (clause 12.2).

What SaaS does not change

Software as a service moves the servers off your desk. It does not move the registration.

The registration is yours

OptumFlex is a technology service provider and is not registered with SEBI in any capacity. It does not prepare or publish research, does not advise anyone, does not take KYC decisions and does not hold client money.

So is the responsibility

No software can make a practice compliant. The platform makes the required steps hard to skip and easy to evidence; the obligations under the RA Regulations, and the SaaS report itself, stay with you.

Client money never passes through us

Clients pay into your own gateway account. Our fees are debited from your wallet on the platform, itemised.

Questions

The things people ask us about this

What is a SaaS platform for SEBI Research Analysts?

Software you use over the internet instead of installing or hosting it yourself. OptumFlex is one built for SEBI-registered Research Analysts: client onboarding with PAN checked against the KRA record, the signed agreement, payments into your own gateway account, research delivered only to entitled clients, model portfolios, reports, courses, webinars and a CRM, under your own brand and domain, for ₹499 a month plus a published share of what your clients pay.

Do Research Analysts have to report the SaaS they use?

Yes. BSE, as the Research Analyst Administration and Supervisory Body, asks Research Analysts for a half-yearly report on the SaaS-based solutions they use, under SEBI circular SEBI/HO/MIRSD2/DOR/CIR/P/2020/221 of 3 November 2020, “Advisory for Financial Sector Organizations regarding Software as a Service (SaaS) based solutions”. For each provider the report asks the service used, the data exchanged and where it is hosted.

Where is my clients' data hosted?

The platform's application server, database server and your files, including clients' KYC records, and the backups of each, are hosted in India, in Mumbai. The services that process specific data outside India are listed in the agreement with the data each receives: WhatsApp (Meta); Telegram, app push notifications (Google Firebase) and course and webinar media (Cloudflare), where you use them; mail through Google where you have not connected your own mailbox; the portal's static files (Netlify, no client data at rest); and the AI providers (Anthropic, OpenAI) behind the drafting features and our support work. Nothing else leaves India without your written consent.

What does OptumFlex give me for my SaaS report?

A numbered, dated undertaking on OptumFlex's letterhead, issued from the platform when your agreement is signed and emailed to you. It cites your agreement, states where the platform is hosted, lists each service outside India that your account uses with the data it receives, and carries a link to a public page that shows whether the letter is genuine and current.

Is OptumFlex registered with SEBI?

No. OptumFlex is a technology service provider and is not registered with SEBI in any capacity. It does not prepare, review or publish research, does not advise anyone, does not take KYC decisions and does not hold client money. You are the registered analyst, and every word you publish is yours.

Can I export my data and leave?

Yes, at the end of any month, with no exit fee. On termination you keep read-only access for 30 days to export your clients, agreements, KYC records, payments, communications and audit logs in PDF, CSV or JSON (clause 17.4), and the live copies are deleted after that window.

How is SaaS different from having software built for my desk?

You pay a monthly fee instead of a build cost, go live in about three hours instead of months, and the hosting, backups, security fixes and releases are run for you. What you do not get is a codebase of your own; what you keep is your brand, your domain, your clients and your data, by contract.
